A founder agreement is usually the first document between co-founders, often at or just before incorporation, covering the equity split, vesting, roles, and IP. A shareholder agreement is the formal post-incorporation governance contract that adds transfer restrictions, board composition, and investor terms. An operating agreement (for an LLC) or bylaws (for a corporation) are the entity's own governing documents.
