    Technology Contracts — GTC team

Your contract stack is a sales tool — make it a good one

Every B2B SaaS company eventually hits the same wall. The Stripe-link self-serve flow stops working at $25k ACV, and the buyer's procurement team asks for a Master Services Agreement, a Data Processing Agreement, a security questionnaire response, and a redlined version of your standard subscription agreement. If you don't have an answer ready, the deal slips a quarter — sometimes two.

We build the full enterprise contract stack from scratch around your product, your pricing model, and the size of customer you're trying to win. The result is a coherent set of documents that holds up under enterprise legal review, that you can reuse across deals, and that you don't have to rewrite every time procurement asks 'do you have an MSA?'

    MSA vs Subscription Agreement

When you need an MSA, and when a subscription agreement is enough

A SaaS subscription agreement is a single contract covering everything: the licence, the SLA, the data terms, the payment terms. It works perfectly for self-serve and SMB sales. It starts to break down when you're selling to enterprises that want a Master Services Agreement they can sign once and then drop multiple Order Forms underneath — for additional products, additional users, additional regions.

The MSA + Order Form pattern is not a legal requirement; it's a procurement convenience. But because procurement teams expect it, having it ready means your enterprise deals don't get bounced for 'wrong contract structure'. We typically build both: a subscription agreement for self-serve and SMB, and an MSA + Order Form stack for enterprise.

    DPA & data transfers

Why your DPA needs more than just a download from the GDPR website

Every B2B SaaS that touches EU personal data needs a Data Processing Agreement under Article 28 GDPR. Most companies grab a template and stop there. Then a deal stalls because the customer's data-protection team flags missing items — sub-processor lists with notification rights, technical and organisational measures appendices, breach-notification timing tied to the customer's own regulatory obligations, audit rights, and a transfer mechanism (Standard Contractual Clauses + UK IDTA + a transfer impact assessment) for data leaving the EU/UK.

A DPA is one of the highest-leverage documents in your enterprise stack. We draft DPAs that pass DPO review on the customer side, including the SCC modules, UK IDTA addendum, and a defensible technical-and-organisational-measures appendix that maps to what your engineering team actually does.

    AI & ML

AI products need contract language most SaaS templates don't have

If your product uses customer data to train models, generates content the customer will use commercially, or relies on third-party foundation models, your standard SaaS subscription terms are not enough. You need express positions on: who owns the output, whether customer data is used for training (and if so, under what consent), liability for inaccurate or harmful AI output, indemnity for IP infringement in generated content, and disclosure of upstream foundation-model providers.

We've drafted AI-specific terms across LLM platforms, computer-vision tools, and ML-ops infrastructure. The right contract language not only protects you legally — it accelerates enterprise sales by giving security and legal reviewers clear answers to the AI-specific questions they're now asking on every deal.
