MSA vs Subscription Agreement
When you need an MSA, and when a subscription agreement is enough
A SaaS subscription agreement is a single contract covering everything: the licence, the SLA, the data terms, the payment terms. It works perfectly for self-serve and SMB sales. It starts to break down when you're selling to enterprises that want a Master Services Agreement they can sign once and then drop multiple Order Forms underneath — for additional products, additional users, additional regions.
The MSA + Order Form pattern is not a legal requirement; it's a procurement convenience. But because procurement teams expect it, having it ready means your enterprise deals don't get bounced for 'wrong contract structure'. We typically build both: a subscription agreement for self-serve and SMB, and an MSA + Order Form stack for enterprise.
